Terms & Conditions — Advertiser Account

By creating an Advertiser account or purchasing advertising on the Beer KC platform ("Platform"), you ("Advertiser") agree to be bound by these Advertiser Terms & Conditions ("Terms"). These Terms constitute a binding legal agreement between Advertiser and Beer KC ("Company," "we," "us," or "our").

If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity. We reserve the right to update these Terms at any time. Continued use of advertising services after notice of changes constitutes acceptance of the updated Terms.

Advertising on Beer KC is restricted to locally operated businesses serving the Kansas City metropolitan area. By applying for an Advertiser account, you represent and warrant that:

• Your business is a locally owned and operated business in the Kansas City area.
• You are not a national chain, franchise controlled by a national corporate entity, or multinational corporation.
• Your business complies with all applicable federal, state, and local laws.
• You have the authority to enter into this agreement and to authorize the placement of the Ad content submitted.

All advertisements ("Ads") must be submitted through the Beer KC Advertiser dashboard and are subject to review and approval before going live. The following standards apply:

• All Ads are reviewed by a Beer KC administrator before activation. We do not guarantee approval of any Ad.
• Ads must be truthful, non-deceptive, and compliant with all applicable advertising laws and FTC guidelines.
• Ads may not contain content that is obscene, defamatory, discriminatory, or otherwise objectionable in our sole determination.
• Ads may not promote illegal products, services, or activities.
• Ads must not contain auto-play audio or video, pop-up mechanisms, or interstitial content.
• All Ads will be clearly labeled “Sponsored” in the Platform UI.

We reserve the right to reject, remove, or request revision of any Ad at any time. If an Ad is rejected before activation, no charge will be made. If your submitted Ad is not reviewed within five (5) business days, you will receive a status notification.

Beer KC determines all aspects of ad placement, rotation, and delivery. The following terms govern how Ads are served:

• Equal Rotation: All active Ads are served in equal rotation. No paid priority placement is available.
• Placement Zones: Ads appear in designated zones including brewery list feeds, events feed, beer browse pages, map screens, and crawl completion screens.
• Format Compliance: Ads must conform to Beer KC's current format specifications. Non-compliant creative may be rejected or resized.
• Impression Estimates: Any impression or reach estimates provided are estimates only and are not guaranteed.

Advertising is billed on a flat monthly subscription basis. The following billing terms apply:

• Flat Rate: All advertisers pay the same monthly rate as published on the Platform at time of subscription. Beer KC may adjust rates with 30 days' advance notice.
• Billing Cycle: Subscriptions are billed monthly and automatically renew unless cancelled.
• Cancellation: You must provide at least seven (7) days' written notice prior to the next billing date to cancel. Cancellations do not entitle you to a prorated refund for the current billing period unless Beer KC initiates the cancellation.
• Payment Processing: Payments are processed by Stripe. Beer KC does not store your payment card data. Use of Stripe is subject to Stripe's own terms of service.
• Failed Payments: If a payment fails, your Ads will be paused until payment is resolved. Beer KC is not liable for reduced ad delivery resulting from payment failure.
• Refunds: Refunds are issued at Beer KC's sole discretion, except where required by applicable law.

Your Advertiser dashboard provides access to the following analytics for your own Ads only:

• Impression counts, click counts, and click-through rate (CTR).
• Estimated unique reach (anonymized).
• Time-of-day impression distribution and device type breakdown.
• Neighborhood-level distribution based on where the App was open when the Ad appeared.
• Ad spend vs. engagement trends over your billing period.

All analytics are for your internal business use only. You may not resell, redistribute, or publicly publish Beer KC analytics data without our express written permission.

By submitting Ad creative, you grant Beer KC a non-exclusive, royalty-free license to display, reproduce, and serve your Ad content through the Platform for the duration of your active subscription. You represent and warrant that:

• You own or have all necessary rights and permissions to the Ad creative submitted.
• Your Ad creative does not infringe any third-party intellectual property, trademark, or copyright.
• You have obtained all required releases and permissions for any images, likeness, or content included in your Ads.

You retain ownership of your Ad creative. Beer KC will not use your Ad creative outside the Platform without your written consent.

The following types of advertising content are strictly prohibited on Beer KC:

• Content targeting minors or encouraging alcohol consumption by anyone under 21.
• Content that is false, misleading, deceptive, or makes unsubstantiated claims.
• Content that is sexually explicit, graphically violent, or otherwise inappropriate for a general adult audience.
• Political advertising or content endorsing political candidates or ballot measures.
• Content disparaging other businesses, individuals, or the Beer KC platform.
• National chain or corporate franchise advertising.
• Any content that violates applicable federal, state, or local law.

The Platform and advertising services are provided "as is" without warranties of any kind. Beer KC does not warrant that advertising will achieve any particular result, level of impressions, clicks, conversions, or business outcome. All performance estimates are estimates only and are not guarantees.

To the maximum extent permitted by applicable law, Beer KC and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of advertising services — including lost profits, lost revenue, or loss of business opportunity.

Our total aggregate liability to Advertiser for any claims arising from the advertising services shall not exceed the total fees paid by Advertiser to Beer KC in the three (3) months preceding the claim.

Advertiser agrees to indemnify, defend, and hold harmless Beer KC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) Advertiser's Ad content; (b) Advertiser's violation of these Terms; (c) any claim that Advertiser's Ad content infringes any third-party right; or (d) Advertiser's violation of any applicable law or regulation.

Beer KC may suspend or terminate an Advertiser account at any time, with or without notice, for:

• Violation of any provision of these Terms.
• Submission of prohibited or non-compliant Ad content.
• Payment failure that remains unresolved after five (5) business days.
• Any conduct we determine is harmful to the Platform, its users, or its community.

Upon termination, all active Ads will be immediately removed from the Platform. Sections 9, 10, 11, and 14 survive termination of these Terms.

Any non-public information shared between Beer KC and Advertiser in connection with the advertising relationship — including pricing, platform data, and analytics — is considered confidential and may not be disclosed to third parties without prior written consent from the disclosing party.

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Jackson County, Missouri, and each party hereby consents to personal jurisdiction and venue in those courts.

Any claim arising from the advertising relationship must be brought within one (1) year after the claim arises, or it is permanently barred.
